Terms of Service
Last updated: October 10, 2026.
Company: SellSMART Not Hard LLC, dba The Omniverse City, 99 Wall Street, New York, NY 10005. Contact: Charlene Nichols, CEO, info@theomniverse.city. Governing law: New York.
1. Who we are and this agreement
These terms are an agreement between you and SellSMART Not Hard LLC, dba The Omniverse City ("we", "us"). They cover Omniverse City, Omniverse Portals (the builder and the domains made with it), SellSMART, the shop at portals.theomniverse.city/shop, and Lexi. By creating a passport or using any of them, you agree to these terms, the End User Licence Agreement and the Privacy Policy. Questions go to info@theomniverse.city.
2. Your passport and account
- Your passport (MultiPass) is your single sign-in across the City, Portals and SellSMART. Keep your email current, and don't share your sign-in codes.
- You must be 18 or older to buy a journey, hold or spend OCX, sell, resell, or rent out a place.
- Young people under 18 may only use learning portals that allow them, and only with a parent's or guardian's verified consent. Minors can't spend money or OCX, and can't add social handles. We keep only their first name, age range and progress.
- You're responsible for what happens on your account and for anyone you add to your team or workspace.
- One person, one passport. Don't create accounts to get extra passes, bonuses or licences.
3. Journeys, passes and billing
- Journeys (also called pathways or licences) are memberships: Explorer (free), OmniFolk, Omnipreneur, OmniPro, OmniCast and OmniStream. Current prices are on the pricing page and the shop. Each journey includes the ones below it.
- 7-day passes let you try a journey once, free. During a pass you can preview everything, but you can't publish, sell or rent out a place until you buy the journey. When the pass ends, your account goes back to its previous journey. Nothing you drafted is deleted.
- Billing. Paid journeys and SellSMART plans renew monthly, or yearly if you choose that, until you cancel. Payments are processed by Stripe and may use a card, Apple Pay, Klarna or Afterpay. Their terms also apply.
- Cancelling. You can cancel any time. You keep your journey until the end of the period you paid for. After that, your places go on hold, not deleted, and come back if you rejoin.
- Refunds. Journey and plan fees for a period that has started, feature suites that have been switched on, and OCX that has been spent are non-refundable, except where the law requires otherwise or we decide otherwise in a particular case.
- Price changes. We'll give at least 30 days' notice before changing the price of a journey or plan you're on.
- Taxes. Prices may not include sales tax or VAT, which is added where required.
4. OCX, places and digital items
- OCX is the City's in-platform token. You can buy it (currently 1 OCX = $0.01), earn it through bonuses, quests, roles and journey payments, and spend it across the City. OCX isn't money, a bank deposit, a security or an investment. It can't be exchanged for cash except through a feature we expressly offer for that. It has no value outside the platform.
- We may correct OCX balances that are wrong because of an error, a refund, a chargeback or fraud.
- Unicorn Nursery offers. OCX offered to a founder is held until the founder accepts or declines. Undecided offers are returned after 14 days. A revenue-share offer is a private arrangement between backer and founder. We record it but don't pay it out or guarantee it, and it may be regulated where you live.
- Places (apartments, offices, kiosks, vending machines, storefronts, studios) and their City addresses are virtual. They come with your journey as a licence to use them on the platform. They aren't real property, and you don't own them. If your journey lapses, they go on hold.
- Collectibles, wearables, keys, Key Tags and badges are licences to use digital items on the platform. Buying one doesn't transfer any intellectual property. Items may only be resold or transferred through the features we provide.
- If we discontinue an item or feature you paid for, we'll give notice and a fair remedy, such as a replacement, OCX credit or a pro-rated refund.
5. Selling, reselling and teams
- Your own sales. When you sell tickets, memberships, products or services through your domain or SellSMART, you are the seller. Stripe processes the payment and pays you through your connected Stripe account. The platform fee and card processing are deducted as shown on the pricing page and in Revenue. You're responsible for your products, delivery, refunds, taxes and customer service.
- Reselling shop and City items. Omnipreneurs and above can list shop and City items on their domain. Depending on your journey you earn a commission, or you buy at a wholesale or enterprise price and resell at your own price, never below list price. The rates in force are shown in your account. We may change them with 30 days' notice. Commissions are paid in OCX unless we say otherwise.
- Journey memberships may only be resold through the License store, at list price or higher, and aren't eligible for wholesale or enterprise discounts.
- City share on collectibles. We keep 30% of each collectible sale, or 15% on the first $10,000 of sales for holders of a Unicorn Nursery licence. Card fees on Unicorn Nursery sales come out of the creator's payout.
- Unicorn Nursery licences are limited, need an application, and are approved at our discretion. We release them in rounds, and we may withdraw one that's misused.
- OmniPro Plus and other admin levels are granted at our discretion and can be withdrawn.
- Teams. OmniCast and OmniStream members can lead OmniPros and Omnipreneurs, and OmniPros can lead Omnipreneurs. A team lead may earn a share of their team's resale sales, shown in their account. Team members stay responsible for their own accounts and sales.
- Honest selling. Don't mislead buyers about what an item is, what a journey includes, or what you're earning. Commissions on fraudulent, refunded or charged-back sales are reversed.
6. Venues, events, rentals, livestreams and quests
- Venue owners set their own prices, lengths, availability, rules and approval for renting, leasing and booking. A booking is an agreement between the owner and the renter. Our platform fee on rentals and leases is shown before you confirm.
- Event hosts are responsible for their events, including accurate descriptions, refunds to attendees, and any permits or rights they need.
- Livestreams. OmniStream members and others streaming into or out of the City must hold the rights to everything they stream. We may stop a stream that breaks these terms or the law.
- Quests and rewards. OCX, badges and Key Tags from quests are one-time rewards, given when you finish the steps. Proof you submit must be your own and true. We may withhold or reverse rewards obtained by cheating or automation.
- Partner requests between Omnipreneurs and venue hosts are between those members. We don't guarantee any partnership.
7. Your content and conduct
- You own your content: your pages, uploads, products, contacts, quests and streams. You give us a licence to host, display, copy and process it only as needed to run the platform. That includes showing your public pages and listings in the City and the shop.
- You confirm you have the rights to everything you upload or stream. For contacts in SellSMART, you confirm you have a lawful reason to hold and contact them, and you'll honour opt-outs.
- Don't: break the law, infringe anyone's rights, harass people, send spam, scrape, impersonate others, post sexual content involving minors, give medical advice on health pages, use automation to farm rewards, or try to break or overload the service. We may remove content and suspend accounts that do.
- Fan and game content must follow the rules of the game it's based on. Fortnite pages must say "Not affiliated with or endorsed by Epic Games".
8. Lexi and other AI features
- Lexi is an AI. She's always labelled as AI, including when she speaks through Lexi's voice agent. DrekAI and any other AI personalities are labelled the same way.
- AI suggestions, drafts and recommendations can be wrong. Check them before you rely on them. Lexi drafts and guides; she never pays, sends or deletes anything on her own, and you're responsible for what you choose to send or publish.
- Lexi isn't a financial, legal or medical adviser.
9. Other services we use
Some features rely on other providers, such as payments, email, video rooms, voice, AI and business-data lookups. Their availability isn't under our control. Where you connect your own account (for example Stripe or Google Sheets), their terms also apply.
10. Availability and disclaimers
We work to keep the platform running and your data safe, but it's provided "as is" and "as available". We don't promise it will always be available, error-free, or right for a particular purpose. We may improve, change or retire features. If we remove something important from a paid journey or plan, we'll tell you first.
11. Liability
To the extent the law allows, we aren't liable for indirect, incidental or consequential losses, or for lost profits, data or goodwill. Our total liability for any claim is limited to the greater of what you paid us in the 12 months before the claim, or $100. Nothing in these terms limits rights you have under consumer law that can't be limited.
12. Ending your account
You can close your account any time. We may suspend or close accounts that break these terms, put others at risk, or are required by law to be closed. Where it's safe and legal, we'll tell you why and give you a chance to export your data. Unspent OCX on an account closed for a breach is forfeited, except where the law says otherwise.
13. Disputes and governing law
These terms are governed by the laws of the State of New York. If something goes wrong, contact info@theomniverse.city first, and we'll try to resolve it within 30 days.
14. Changes to these terms
If we change these terms in an important way, we'll update the date at the top and tell account holders by email or in the app at least 30 days before the change applies. If you keep using the platform after that, you accept the new terms.
